Terms & Conditions of Service

Please read these terms carefully before accessing our SaaS platform. By connecting your Meta WhatsApp Business Account, sending emails, or provisioning phone numbers, you agree to these binding provisions.

Last Updated: October 2026•Applies to: Enterprise & Self-Serve Accounts•B2B SaaS Commercial Terms
Section 1: Master Terms & Acceptable Use

1. Service Provision & Merchant Responsibility

By creating a workspace or API key on Acolyte Marketing SaaS ("Platform"), the subscribing business entity ("Merchant") agrees to these Terms. You represent that you possess legal authority to bind your organization.

  • Account Credentials: You are responsible for maintaining confidentiality of your API keys, Meta App secrets, and employee sub-accounts.
  • Prohibited Activities: You may not use the Platform to transmit malware, phishing campaigns, deceptive prize claims, illegal drugs, prescription narcotics, adult entertainment, weapons, or hate speech.
  • Compliance with Local Laws: You must comply with all telecommunications regulations in every jurisdiction where your recipients reside (e.g. TCPA, CAN-SPAM, GDPR, TRAI DND in India).

2. Meta WhatsApp Business Terms & Consent Warranties

Use of WhatsApp messaging features is subject to the officialWhatsApp Business Messaging Policy andWhatsApp Commerce Policy.

2.1 Explicit Opt-In Proof Warranty:The Merchant expressly warrants that every recipient enrolled into a WhatsApp broadcast campaign has provided unambiguous consent to receive commercial messages from the Merchant's specific brand. The Merchant agrees to provide written opt-in audit proof within 48 hours upon request by our compliance team or Meta.
2.2 Meta 24-Hour Care Window Architecture:The Merchant acknowledges that Meta charges per 24-hour conversation category (Marketing, Utility, Authentication, Service). Freeform conversational messages are restricted to the active 24-hour window triggered by an inbound customer message. Automated template messages sent outside the window will be billed at standard Meta category rates.
2.3 Phone Number Quality Score & Tier Limits:Meta dynamically evaluates phone number quality ratings (GREEN, YELLOW, RED). If a Merchant's campaigns generate excessive spam reports or user blocks, Meta may restrict throughput or downgrade messaging tiers (from 100k to 10k or 250). The Platform is not liable for Meta-enforced tier downgrades or account suspensions resulting from poor list hygiene.
Section 3: Email Marketing Addendum
Sender Reputation SLA

3. Email Sending Thresholds & Acceptable List Hygiene

To protect shared IP pools and deliverability rates across our client base, email sending is strictly conditioned upon maintaining high reputation scores:

Hard Bounce Cap: < 4.0%

If a campaign experiences a hard bounce rate exceeding 4%, further scheduled dispatches for that domain are automatically halted for list verification.

Spam Complaint Cap: < 0.08%

Google & Yahoo enforce an industry threshold of 0.10%. Our system pauses automated drip sequences if spam complaints reach 0.08%.

The Merchant must have verified ownership of the sender domain via DKIM public key and SPF TXT record before high-volume marketing dispatches are unlocked.

Section 4: SMS & RCS Messaging Addendum
10DLC & CTIA Guidelines

4. SMS Carrier Surcharges & 10DLC Vetting

For US, Canadian, and international SMS message routing:

  • 10DLC Brand & Campaign Registration: US carriers require businesses using standard 10-digit long codes to register their brand EIN and sample messaging templates with The Campaign Registry (TCR).
  • Carrier Surcharges: All telco carrier pass-through fees (e.g. AT&T, T-Mobile, Verizon surcharges) are billed at cost to the Merchant's billing profile.
  • Automated Opt-Out Handlers: Any contact sending STOP will have immediate suppression enforced at the gateway level.
Section 5: Service Level Agreement & Indemnification

5. 99.9% Platform Availability & Liability Limits

We guarantee a 99.9% uptime for our core API ingress, webhook receiver workers, and Redis/PostgreSQL queue systems.

Upstream Third-Party Exclusions:The SLA excludes outages caused by Meta Graph API server downtime, upstream telecommunication carrier outages, or Merchant DNS misconfigurations.
Mutual Indemnification:The Merchant agrees to indemnify, defend, and hold harmless the SaaS provider, its directors, and infrastructure partners against any third-party claims, regulatory fines (including Meta WABA penalty fees, TCPA damages, or GDPR statutory fines) arising from the Merchant's failure to obtain verifiable subscriber opt-in consent.
